Selling a business

We will work with you to understand why you want to sell and what you want to achieve and use our experience to steer you through the sale process. Our expertise goes beyond being just legal advisors.

What we do

We recognise that selling a business is a complex, time consuming and often life changing event. By engaging us at an early stage in the process, we can provide advice and guidance to help identify and remedy potential issues. This can allow the sale process to complete without undue complications or delays which ultimately maximises the value you will receive.

As part of the pre-sale planning, we offer a legal audit service to discuss and plan for the challenges the sale process will inevitably raise. Our clients find this service helpful and often appreciate having our input and assistance in preparing the company for sale before approaching potential buyers.

We will work with you and your financial advisors in the structuring of the offer through to the due diligence and the detailed contract negotiations stages. We will manage the process, provide expert guidance and go beyond what you would expect of a lawyer to ensure you achieve the best possible outcome.

As part of any transaction, we can advise on all the core legal areas required, such as employment, real estate, commercial, IT and intellectual property. In addition, many of the transactions we are involved in have an international aspect and though our membership of the international network of boutique law firms,  INBLF, and our other connections established over many years we can offer you seamless access to specialist legal advice in the majority of the world’s legal jurisdictions.

Who we do it for

We have a broad client base, acting for many individual entrepreneurs and owner managed businesses, as well as large UK and foreign companies.  We also have experience across a broad range of market sectors, including manufacturing, retail, automotive, technology and property.

"I would like to thank the team at Rawlison Butler for their hard work, practical advice and dedication to getting the deal done. Selling a business that has taken years to build was always a daunting prospect, having experienced legal advisers on my side who were on hand whenever we needed them as well as the ability to explain complex technical legal matters in a way we could easily understand, was invaluable."

"The Rawlison Butler team were there for us every step of the way, worked very hard to look after our interests and could be called upon at all times of the day (or night). Selling a business that we had owned for a long time was time-consuming and demanding process; having a team on your side who are responsive, experienced and easy to work with was invaluable. We would not hesitate to recommend Rawlison Butler to anyone who is considering selling their business."

"I doubt we would have achieved our objective without the Rawlison Butler team’s total commitment to finding solutions - they delivered a timely and effective contribution to what was a complex transaction with many facets and related challenges, especially on the overseas funding package. Rawlison Butler were also able to access high quality legal advice from their INBLF associated law firm members in Belgium, France, Germany and The Netherlands, and with a respected Nigerian firm. A job well done."
