Project Managing M&A Transactions

All of the members of the team have experience of acting for corporate purchasers and sellers on large scale transactions and all of the Partners are happy to lead the project on behalf of the client or work closely with their in-house counsel to make sure the project is delivered on time. We are always proactive in driving deals to completion.

Due Diligence Exercises

Ensuring that your due diligence exercise is well run and dovetails effectively with your accountants is a vitally important part of any corporate acquisition. We will deliver a due diligence report based on your needs and with the level of detail that you want. If you want just the headlines we will not deliver two pages of comments on the photocopier leases.

Data Room Management

If you are selling your Company we have the technical capability to run a secure online data room so that the buyer’s advisers can view the due diligence documents remotely without needing to spend large amounts of time at your offices or ours. We can control the security settings to allow only certain people to have access to selected documents.

Public Equity Advice

Our team is used to acting on transactions for public companies (primarily on AIM) and these include IPOs, acquisitions, further fundraisings and reverse takeovers. The clients need to be able to trust their advisers to ensure that the relevant regulations have been adhered to.

Company Secretarial Services

We also offer a full company secretarial service, including formation of companies, acting as the registered office and as the Company Secretary.
