Buying Companies and Businesses

Our team advises on numerous company and business acquisitions every year.  We have a huge experience of providing practical legal advice to large corporates, foreign companies and management teams.

Selling Companies and Businesses

Whether it is the sale of a division by a large corporate or the business and assets of a small company our team has an in-depth knowledge of the legal issues that can arise on these transactions. For our owner-managed clients we offer a pre-sale clinic before they sell their business.

Drafting Shareholder Agreements

Every private company with more than one shareholder should have a shareholders’ agreement in place. It is a very expensive process to resolve a shareholder dispute where there is no agreement in place.

Advising on private equity investments

We have a large number of entrepreneurial clients and often advise them on taking investment from private equity houses or venture capitalists. We regularly advise investors and management teams on MBOs and MBIs. We also advise high net worth individuals on their investments into private companies.

Advising Public Companies on their regulatory requirements

Companies who have their shares traded on AIM or PLUS Markets need to ensure that they adhere to certain rules. We advise our clients on these rules. We also act for them in raising funds on these markets.
